Terms of Service

The short version We provide trucking operations software on a monthly subscription. You agree to pay your bill on time and not abuse the service. We agree to keep your data safe and provide reasonable uptime. Either of us can cancel anytime.

1. Who's who

"HaulSharp," "we," or "us" means Haul Sharp LLC, an Oregon limited liability company. "You" or "Customer" means the person or company subscribing to HaulSharp. By creating an account or using the service, you agree to these terms.

2. The service

HaulSharp is a cloud-based software platform for managing trucking operations — including dispatch, driver records, compliance, payroll, and similar fleet workflows. We provide the software; you operate your trucking business.

We are not a motor carrier, freight broker, or transportation provider. We don't haul freight, employ drivers, or assume any of the legal obligations of a trucking company. You remain solely responsible for the operation, safety, and compliance of your fleet.

3. Your account

You're responsible for keeping your login credentials secure.
You're responsible for what your team members do under your account.
You must be at least 18 years old.
You must provide accurate information when signing up.

4. Subscription & billing

HaulSharp is offered on a monthly subscription. Plans and prices are listed on our pricing page.
You authorize us to charge your payment method monthly until you cancel.
Free trials end automatically; we'll only charge you if you've added a payment method.
If a payment fails, we'll retry for 14 days and email you. After that, the account may be suspended until payment is resolved.
All fees are non-refundable except as required by law. If you cancel mid-month, you keep access until the end of the billing period.
We may change pricing with at least 30 days' written notice. Existing subscriptions continue at their current price until renewal.

5. Your data

Your data is yours. You own everything you upload — drivers, loads, customers, documents, invoices, all of it.
You grant us a limited license to host, process, and display your data solely for the purpose of providing the service.
We don't claim any rights in your data beyond running the platform for you.
You can export your data as CSV at any time from within the app.
If you cancel, we'll keep your data accessible for 30 days, then delete it (subject to records we're required to keep by law).

6. Acceptable use

You agree not to:

Reverse-engineer, copy, or compete with the HaulSharp platform.
Use the service to violate any law, including transportation regulations, employment law, or privacy law.
Upload malware, attempt to break security, or disrupt the service for other customers.
Resell access to other companies without our written agreement.
Use the service to send spam, harass anyone, or violate other people's rights.

7. Intellectual property

The HaulSharp software, brand, logo, and content are owned by Haul Sharp LLC. You may use them only as needed to use the service. You don't get any other rights to our IP.

8. AI features (Roy)

Roy is HaulSharp's built-in AI assistant. Roy uses your tenant's data to answer your questions and help with operations. Roy can make mistakes. We make reasonable efforts to ensure Roy gives accurate and useful answers, but you should not rely on Roy for legal, regulatory, or safety-critical decisions without verifying. You remain responsible for compliance with all transportation and employment laws regardless of what Roy suggests.

Inputs you send to Roy are processed by Anthropic's Claude API under their commercial terms. Anthropic does not retain these inputs or train on them. We do not use your data to train AI models that benefit other customers.

9. Compliance disclaimer

HaulSharp helps you manage compliance records (driver qualification files, medical certificates, vehicle inspections, hours of service, etc.). The platform tracks dates, sends reminders, and organizes documents — but HaulSharp does not certify your compliance with any law or regulation. Final responsibility for DOT, FMCSA, IRS, state, and local compliance rests with you and your safety team. If your fleet is audited, we'll cooperate with reasonable requests for records, but the audit outcome is on you.

10. Service availability

We aim for high availability but don't guarantee specific uptime unless your plan explicitly includes an SLA. We may have planned maintenance windows; we'll give advance notice when possible. We're not liable for outages caused by third-party providers (Supabase, Stripe, Anthropic, etc.) or events outside our control.

11. Termination

You can cancel anytime from your billing settings.
We can suspend or terminate accounts that violate these terms, fail to pay, or harm the service. We'll give notice when reasonable.
Upon termination, your data is preserved for 30 days for export, then deleted.

12. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE FROM ALL THREATS.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HAUL SHARP LLC'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY.

14. Indemnification

You agree to defend and indemnify Haul Sharp LLC against any claims arising from your use of the service, your violation of these terms, your data, your business operations, or your interactions with your customers, drivers, or vendors.

15. Governing law

These terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Deschutes County, Oregon, and you consent to that jurisdiction and venue.

16. Changes

We may update these terms occasionally. Material changes will be communicated by email at least 30 days in advance. Your continued use of the service after changes take effect means you accept the new terms.
